Not For Resale (NFR) Agreement

By completing this form and clicking the ‘send’ button below you understand that you are requesting to be included in the NetWatcher ‘Not-for-Resale’ program. Inclusion in the program will be decided by the Defensative evaluation team.   If you are approved to be part of the program you agree to the following:

1.GRANT OF LICENSE. Defensative (makers of NetWatcher) grants you a non-exclusive license to install and use the NetWatcher Sensor (NS) and corresponding cloud service for the purpose of understanding the solution (you use what you sell) and presenting the solution as a re-seller to prospect customers. You may not make any copies of NS and may not reverse-engineer, disassemble, or decompile the NetWatcher Sensor.

2.OWNERSHIP. The NS/service is a proprietary product/service of Defensative and/or its suppliers, and is protected under copyright law and international treaties. All intellectual property rights in and to NetWatcher are retained by Defensative and/or its suppliers.

3.TERM. This Agreement shall be effective for as long as you have active NetWatcher customer contracts. Upon completion of this term you understand you must return the sensor within 10 business days.

4.LIMITATION OF LIABILITY. Under no event will Defensative be liable for direct, indirect, special or consequential damages, including but not limited to lost profits or the loss of data resulting from the use of the NS/service.

5.ASSIGNMENT. You may not assign your rights under this Agreement to another party.

6.OTHER. Defensative LLC (Makers of NetWatcher have the rights to cancel this agreement at any time with 30 days notice).

7.GOVERNING LAW. In the event of a dispute regarding this Agreement, the Laws of the United States of America apply. Responsible court is the State of Virginia.
